                             ARTICLE 1
                             OFFICERS

Section 1. Executive Officers: The Executive Officers of the Tax District shall be a President, Vice
President, Secretary (clerk) and a Treasurer (tax collector) and five (5) directors.  The Executive
Officers and the Directors shall constitute the Board of Directors.  The Board of Directors shall be
voters in good standing (i.e. Registered voters or tax paying property owners). The Board of
Directors shall be elected at the annual meeting of the Tax District.

Section 2.  The President:  Subject to the Direction of the Board of Directors, the President shall be
the chief executive officer of the Tax District and shall perform such other duties as from time to time
may be assigned by the Board.  The President shall be an ex-officio member of all committees.

Section 3.  The Vice-President:  The Vice-President shall have such power and perform such duties
as may be assigned by the Board of Directors or the President.  In case of the absence or disability of
the President, the duties of that office shall be performed by the Vice-President.

Section 4.  The Secretary:  The Secretary shall keep the minutes of all proceedings of the Board of
Directors and all committees and the minutes of the members’ meeting in the books provided for that
purpose; shall have custody of such books and papers as the Board may direct, and shall in general
perform all the duties incident to the office of Secretary, subject to the control of the Board of
Directors and the President.  The Secretary shall also perform such other duties as may be assigned
by the President or by the Board.

Section 5.  The Treasurer:  The Treasurer shall have custody of all receipts, disbursements, funds
and securities of the Tax District and shall perform all such duties incident to the Office of Treasurer,
subject to the Board of Directors and the President.  The Treasurer shall perform such other duties as
may from time to time be assigned by the Board or the President.  The Board shall obtain a bond for
the faithful discharge of the duties in such sum as the Board may require.  Checks to disperse Tax
District funds shall be signed by at least two members of the Executive Committee.
                                              ARTICLE II
                   BOARD OF DIRECTORS

Section 1.  Number of Members:  The business and affairs of this Tax District shall be managed by a
Board of Directors, which shall consist of nine (9) members,(four (4) Officers plus five (5) Directors).

Section 2.  Executive Committee:  The Board of Directors may select from their number an Executive
Committee consisting of not less that three members of the Board, which committee shall have all the
powers of the Board of Directors between meetings, regular or special.  The President of the
Association shall be the chairman of the Executive Committee.

Section 3.  Regular Meetings:  The Board shall meet for the transaction of business at such place as
may be designated from time to time.

Section 4.  Special Meetings:  Special meeting of the Board of Directors may be called by the
President or by three members of the Board for any time and place, provided reasonable notice of
such meetings shall be given to each member of the Board before the time appointed for such
meetings.

Sections 5.  Quorum:  The Directors shall act only as a Board and the individual Directors shall have
no power as such.  A majority of the Directors for the time being in office shall constitute a quorum for
the transaction of business. But a majority of those present at the time and place of any regular or
special meeting, although less than a quorum, may adjourn the same from time to time without notice
until a quorum be on hand.  The act of the majority of the directors present at any meeting at which
there is a quorum shall be the act of the Board of Directors, except as may be otherwise provided by
law.

Section 6.  Order of Business:  The Board of Directors may from time to time determine the order of
business at its meetings.

Section 7.   Chairman:  At all meetings of the Board of Directors, the President, or, in his/her absence,
the Vice-President, or, in the absence of both, a chairman chosen by the Directors present, shall
preside.

Section 8.  Terms of Members of the Board:  Members of the Board of Directors shall be elected to
serve for two years.  To provide continuity within the Board, normally four (4) members (President,
Secretary and two (2) directors) will be elected one year (starting in 2005), and the remaining five (5)
members (Treasurer, Vice President, and three (3) directors) the next year.  However, should
vacancies occur during the year for any cause, the next election held will be for that number required
to bring the Board to its authorized strength of nine (9).  Board member shall be elected by a simple
majority of the voters in attendance at the annual meeting of members so as to take office at the start
of the fiscal year (July 1st).

Section 9.  Ex-officio Members of the Board:  The outgoing President of the Board shall be requested
to remain, should his/her term be expired, as an ex-officio member, with no voting privileges, for a
period of three (3) months.

Section 10.  Annual Report:  The Board of Directors, at the Annual Meeting referenced in Article III,
Section 1, shall submit to the members of the Tax District a report as to the condition of the
Association and its property and shall submit also an account of the financial condition of the year-to-
date.

Section 11.  Resignation:  Whenever a Board member is unable to perform his elected duties by virtue
of transfer, health, conflict of interest, becomes an ineligible voter, or other cause, such member
should submit a letter of resignation to the Board citing the reason.

Section 12.  Vacancies in Board:  Whenever a vacancy in the membership of the Board shall occur,
the remaining members of the Board shall have the power, by the majority vote, to select a successor
Board member to serve the unexpired term of the vacancy.

Section 13.  Removal from the Board:  Should a member have three (3) unexcused absences from the
scheduled Board meetings during the calendar year, that member shall be subject to removal from
the Board by a majority vote of a quorum of the Board.  Excused absences shall be those absences
caused by personal or family illness, travel necessitated by one’s employer or other emergencies
which require the Board member’s absence.  An excused absence is established by the member
calling the President or Vice-president of the Board in advance of the meeting and discussing the
anticipated absence with him/her.

Section 14.  Compensation:  All Board members serve without compensation for their services.  
Those expenditures made by any member of the Board at the direction of the Board are reimbursable
by the Tax District and require that the Board member retain and turn in to the Treasurer all receipts
relative to the expenditure.
                             ARTICLE III
              MEETINGS OF TAX DISTRICT

Section 1.  Annual Meetings:  There shall be an annual meeting of the Tax District at such place as
may be designated during May of each year at a place and time to be determined by the Board.  
Written notice shall be required for such meeting, which notice shall be mailed to all property owners
no less than ten (10) days before the meeting and no greater than thirty (30) days before said meeting.

Section 2.  Special Meeting:  Special meetings of the voters of the Tax District shall be held whenever
called by the Board of Directors.  Notice of each special meeting, stating the time, place, and in
general terms the purpose or purposes thereof, shall be sent by mail to the last known address of all
property owners at least ten (10) days prior to the meeting.

Section 3.  Quorum:  At any meeting of or election by the voters of the Tax District a quorum shall
consist of those voters in good standing attending or voting, and a majority in amount of such
quorum shall decide any questions that may come before the meeting or of the election.  This is not
meant to include those questions, which are specifically mentioned in the restrictions of the Tax
District as needing the vote of a majority of all property owners on record.
                             ARTICLE IV
                       ELIGIBLE VOTERS

Section 1.  Qualifications:  Any person who is an elector (registered voter in the Town of North
Stonington) and resides in the Blue Lake Tax District may vote and any citizen of the United States of
the age of 18 years or more who, owns real estate property jointly or severally within the Blue Lake
Tax District and is liable for taxes assessed against him (her) on an assessment (as set by the Town
of North Stonington) of not less than $1000.00 on the last completed Grand List, or who would be so
liable may vote.  Any person who qualifies as a voter under more than one criteria, that is, property
owner and an elector is eligible to cast only one (1) vote for each motion.
                             ARTICLE V
                   LOSS OF PROPERTY

The Board of Directors shall not be liable or responsible for the destruction or the loss or damage to
the property of any member or the guest of any member, or visitor, or other persons.
                            ARTICLE VI
                             FINANCES

SECTION 1.  Tax Rate:  The annual tax rate shall be based on the annual budget established by the
Board of Directors and approved by a majority of eligible voters in attendance at the annual meeting.
The taxes levied shall be a percentage (mill rate) of the assessed value of each parcel of real property
within the Tax District.  The stated assessed values shall be as stated on the latest Grand List on file
in the Town of North Stonington, Connecticut.  The annual taxes shall be due and payable on July
1st.  If payment is not received within one month of the date due, the installment will become
delinquent and accrue interest at the rate of 1 1/2% per month, (18% annually from the due date.  The
minimum interest charge is $2.00 as specified by Connecticut State Statute.

SECTION 2.  Application of Tax Rate:  The tax rate shall be applied as follows:
1. Lake front property shall pay one (1) times the applicable mill rate.
2. Non lake front property shall pay (0.8) times the applicable mill rate.
3. Any road maintenance will be the responsibility of property owners using the road for access to
their property.

SECTION 3.  Approval of Tax Rate:  The annual taxes shall not be levied without the approval of a
majority of the Tax District eligible voters present at the Annual Meeting or a Special Meeting called for
that purpose.
                            ARTICLE VII
                               NOTICE

Section 1.  Notice:  Whenever, according to these Bylaws, a notice shall be required to be given to
any member or Board member, it shall not be construed to mean personal notice, but such notice
may be given in writing by depositing the same in a post office in New London County, Connecticut,
in a postpaid sealed envelope, addressed to such member or Board Member at this address as the
same appears on the books of the Tax District, and the time when such notice is mailed shall be
deemed the time of giving such notice.

Section 2.  Waiver of Notice:  Any notice required to be given by these Bylaws may be waived by the
person entitled thereto.
                           ARTICLE VIII
                           FISCAL YEAR

The fiscal year of the Tax District shall begin on the 1st day of July and terminate on the 30th day of
June of each year.
                                    ARTICLE X
                      BYLAW CHANGES

The Bylaws of the Tax District may be amended, modified, suspended, reinstated, repealed and
substituted for by other provision upon the majority vote of the Directors.  The Directors may, at their
discretion present changes to the Bylaws at the Annual Meeting of the Tax District or a Special
Meeting called for that purpose.  The proposed changes shall be approved or disapproved by a
simple majority of the eligible voters present at the meeting.  
                                              BYLAWS  (ORDINANCES)                
          BLUE LAKE TAX DISTRICT, NORTH STONINGTON, CT.

INTRODUCTION:   The Blue Lake Tax District was formed on October 25, 2003 at a special town
meeting held at the North Stonington Elementary School.  State of Connecticut General Statutes were
followed for the call of the meeting and the yes or no vote by the Tax District voters.  Immediately
following the positive vote to form the tax district, voting processes were conducted to elect the
officers, board of directors and to name the Tax District.

CHARTER:  The purpose of the Blue Lake Tax District is to preserve Blue Lake (a.k.a. Anderson's
Pond) as a viable recreational resource and wildlife habitat.

BOUNDARIES:  The Blue Lake Tax District is defined as real property in the area of Blue Lake (a.k.a.
Anderson's Pond) with frontage on the following roads.
